Shares of SodaStream (NASDAQ: SODA ) opened higher this morning after an overnight report in Israeli's Calcalist daily business newspaper indicated that PepsiCo (NYSE: PEP ) might be trying to acquire the company behind the fast-growing carbonated beverage maker.
Really? That doesn't make sense.
Sources were telling the paper that the world's second-largest soda company was working on a $2 billion deal that would cash out SodaStream investors to the tune of roughly $95 a share. Given the explicit details of the story -- down to naming Goldman Sachs as the investment banker presenting the offer on PepsiCo's behalf and SodaStream checking with Coca-Cola (NYSE: KO ) to gauge interest before moving ahead on negotiations with PepsiCo -- it was just a matter of time before any of the named parties would squash the chatter.
PepsiCo did, denying that an offer was ever made. However, the story seemed ridiculous even before the denial.

There's no disputing the huge impact that Boston Beer has had on the brewing industry. Giant brewers Anheuser-Busch (NYSE: BUD ) and Molson Coors (NYSE: TAP ) have stepped up with craft-like entrants of their own in an effort to capture the fast-growing craft-beer segment, yet many consumers of craft beers have fierce loyalty to smaller brands and are inclined to resist marketing pushes from bigger companies. Their MillerCoors joint venture was created in 2007 and mainly distributes beer in the U.S. and Puerto Rico, but it also allows Molson to market and distribute certain Miller brands in Canada.

The gourmet beer industry is in a quandary these days that will impact the value of industry stocks, such as Boston Beer (NYSE: SAM), Anheuser-Busch InBev (NYSE: BUD), and MolsonCoors (NYSE: TAP), among others. We think Boston Beer, maker of Sam Adams, is in the best position to thrive.
First, let’s wipe the foam way and study a problem for the industry that’s in significant need of a solution.
The brewery industry has unleashed an army of lobbyists upon Washington, DC, to curry favor, twist some arms (and yes, bend some elbows) to convince Congress to reduce tax burdens micro-brewers consider heavy and onerous. These taxes are a bottom line killer in a combative industry.
Companies such as Boston Beer and Anheuser Busch may have a point on high excise taxes. No longer are North America and Europe no-brainers for beer companies. Growth has stagnated in the so-called “old continents” and breweries are looking to new, emerging market opportunities such as China, India, and increasingly, Africa.
But the entire industry has the dry heaves over a declining market, with older Baby Boomers giving up their wicked ways and their Millennial kids opting for that raspberry cake martini over a nice pint of lager.
That’s where the lobbying campaign comes in, with 2012 a banner year for micro-brewery lobbying efforts, and 2013 should follow suit. In fact, lobbying ranks were significantly swelled as the big micro-brewers put the full-court press on Congress to alleviate what industry executives view as exorbitantly higher excise taxes.
This summer, the US Brewers Association launched a huge lobbying effort that targeted 90 US Senators and 250 members of the House of Representatives, with face-to-face meetings on tap with 250 brewery executives.

By now we all know what Monster Beverage (MNST) gets from its tie-up with Coca-Cola (KO): A hefty chunk of change in exchange for nearly 17% of the company; Coca-Cola’s energy drink business swapped for its own soft-drink lines; and access to Coca-Cola’s international distributors. But what about Coca-Cola?
Associated PressBernstein’s Ali Dibadj explains why Coca-Cola made the deal with Monster Beverage:
We view this development positively as it gives�Coca-Cola exposure to one of the fastest growing segments of the global soft drink industry��hile category growth is clearly slowing in the U.S., the potential remains very strong internationally. Specifically, we see ex-U.S. market growth of more than +12% annually for energy drinks over the next five years, about double of what we project in the U.S. For Monster Beverage, overall growth has slowed in recent years, falling below double-digits in 2013, a far cry from hyper growth in the 2005-2007 period, as market share gains have tapered off. International sales have been a small, but growing, part of the Monster story, although the international mix stagnated last year. We expect the expanded distribution agreements resulting from this partnership to jump-start�Monster Beverage growth in many countries around the world. While�Monster Beverage will still need to negotiate distribution agreements with Coca-Cola’s overseas bottlers throughout its Global System, we think the fact that�Coca-Cola no longer owns any energy drink brands will facilitate that process by removing non-compete challenges. Our country-by-country analysis suggests that�Monster Beverage could nearly double its sales with full access to the global Coca-Cola distribution system.

Though traditional soda sales have been sluggish, consumers can't seem to get enough of the fizzy, adrenaline-spiking beverages. Red Bull and Monster Beverage (MNST) dominate this market, commanding more than 80 percent of the sales in this country. The pesky presence of regulators, politicians, and activists concerned about the long-term effects of consuming these drinks aren't fazing folks seeking a quick burst of energy. A Monster is Rising According to Symphony IRI data that was compiled by Bloomberg last summer, U.S. energy drink sales had increased nearly 7 percent to $9.7 billion through the previous 12 months. That's not too shabby for a category coming under fire, but it was some serious deceleration from the better than 30 percent surge in 2011 and still healthy 21 percent pop in 2012. There was a period when investigations into deaths that might have been linked to energy drink consumption were in the news, but, now that the headlines fare starting to fade, we're back to cracking open Monster Energy cans. Monster Beverage posted strong quarterly results last week, experiencing a 15 percent surge in net sales. Revenue had only climbed 6.5 percent through the year's first two quarters and 7.3 percent through the first nine months of the year. Clearly top-line growth is starting to accelerate again, and that's good news for the industry in general and Monster in particular. Just don't mistake Monster's accelerating growth with a renewed interest in flavored sodas. Cola Wars Run Low on Ammo The fizzy bubbles for Coca-Cola (KO) and PepsiCo (PEP) are rising too slowly these days. Coca-Cola reported global volume climbed just 1 percent during the fourth quarter and just 2 percent for all of 2013, and that includes many of the beverage giant's other drink offerings. The American whiskey boom continues unabated for years��nd isn�� replaced by something new and trendy. Brown-Forman will be acquired by a larger competitor (think Diageo or Pernod-Ricard (PDRDY)).The first assumption is one I�� be hesitant to make given the whims of fashion. And the second is even less likely. Brown-Forman is family controlled, and in the past the company has very adamant about preserving its independence.
